If you haven’t done it before, registering a company in South Africa may seem like a daunting task, loaded with red tape and requiring all sorts of documents, but it’s actually quite simple. As long as you know what the statutory requirements are for the type of company you wish to register.

There are certain standard documents required for all private company registrations. Then some documents related to your company structure and the legal entity you register your company (e.g. a trust).

Company registration documents for private (for profit) companies:

Standard – common to all company registrations:

  • A Memorandum of Incorporation (MOI).
    The MOI can be a standard MOI (form supplied by the South African Companies and Intellectual Property Commission (CIPC)) or it can be customised. The MOI defines the rules agreed on by the shareholders of a business at the outset – rules regarding the management of the business.

Non-standard MOI’s include specific conditions or waivers agreed on by the shareholders (co-owners of a new business). These should be prepared with legal assistance.

  • Certified copies of Identity Documents for applicant, company directors and incorporators
  • The company name confirmation certificate (COR9.4 form – available to be submitted online at the CPIC)

Documents you may require:

  • Power of Attorney if registration is done on behalf of another applicant
  • Resolutions and certified copy of the Identity Document of an authorised representative for a trust or juristic person.

Company registration documents for non-profit companies:

There are no shareholders in a non-profit. Therefore, no MOI is required.

However, you will need to register the certified ID’s of at least three directors.
